Agreement to these terms

These Terms of Use (“Terms”) govern your access to and use of the True Merchant Rate website, account portal, statement-analysis tools, reports, communications, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree, do not use the Service.

Eligibility and accounts

You must be at least 18 years old and legally capable of entering into these Terms. Account information must be accurate and kept current.

You are responsible for safeguarding credentials, activity under your account, and access by people you authorize. Notify us promptly if you suspect unauthorized access. We may require email verification or other security steps.

The Service

The Service is designed to organize merchant-processing statement information and present calculations, classifications, confidence indicators, explanations, and potential items for further review.

Features may vary by account, role, organization, plan, jurisdiction, or product stage. We may improve, add, remove, suspend, or discontinue features, subject to applicable obligations.

Uploads and your responsibilities

You retain your rights in documents and information you submit. You grant True Merchant Rate and its service providers the limited rights necessary to host, copy, process, analyze, transmit, and display that material to operate and improve the Service for you.

You represent and warrant that:

  • you own the submitted material or have all permissions needed to use and provide it;
  • your use does not violate confidentiality, privacy, intellectual-property, contractual, or other rights;
  • you will not upload malware, unlawful content, authentication credentials, security codes, or full payment-card numbers; and
  • you will review source documents and outputs before relying on them or sharing them with others.

Analysis limitations

Reports and outputs are informational. They depend on statement quality, available data, extraction accuracy, classification logic, assumptions, processor terminology, pricing programs, card mix, contract terms, and other factors.

Estimates, benchmarks, health scores, savings ranges, opportunities, and recommendations are not guarantees, offers, processor quotes, or promises of future results. A processor, acquiring bank, card network, advisor, or other qualified professional may interpret information differently.

You are responsible for verifying important figures against original documents and obtaining appropriate professional advice before making financial, contractual, operational, or legal decisions.

Acceptable use

You may not use the Service to:

  • violate law, regulation, contract, or another person’s rights;
  • access accounts, documents, organizations, or data without authorization;
  • probe, bypass, disable, or interfere with security, authentication, rate limits, or access controls;
  • introduce malicious code, scrape the Service at unreasonable volume, or disrupt its operation;
  • reverse engineer or attempt to extract non-public source code except where a restriction is prohibited by law;
  • misrepresent outputs as audited, certified, guaranteed, or independently verified when they are not; or
  • use the Service to make unlawful eligibility, credit, employment, insurance, or similarly high-impact decisions.

Ownership

True Merchant Rate and its licensors retain all rights in the Service, including its software, design, branding, methodologies, templates, documentation, and other materials, excluding content you submit.

Subject to these Terms, you receive a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended business purpose. No other rights are granted by implication.

If you submit feedback, you permit us to use it without restriction or compensation, provided we do not publicly identify you without permission.

Third-party services

The Service may rely on or link to third-party hosting, authentication, storage, document-processing, communications, analytics, or other services. Third-party services are governed by their own terms and privacy practices.

We are not responsible for third-party products, websites, offers, or conduct, and a link or integration does not necessarily imply endorsement.

Availability and security

We aim to provide a reliable Service but do not promise uninterrupted or error-free operation. Maintenance, technical failures, third-party outages, security events, or circumstances outside reasonable control may affect availability.

We may use measures to protect the Service and may restrict activity that appears abusive, unauthorized, or harmful.

Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” True Merchant Rate disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade.

We do not warrant that outputs will be complete, accurate, current, or suitable for a particular decision, or that use of the Service will produce savings or another specific outcome. Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.

Limitation of liability

To the maximum extent permitted by law, True Merchant Rate and its affiliates, personnel, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings arising from or related to the Service.

Where liability cannot be excluded, it will be limited to the greatest extent permitted by applicable law. Nothing in these Terms limits liability that cannot legally be limited.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access when reasonably necessary to protect the Service or others, address suspected violations, comply with law, respond to security risk, or discontinue the Service.

Provisions that by their nature should survive termination—including ownership, disclaimers, limitations, and responsibility for prior activity—will survive.

Changes to these terms

We may update these Terms as the Service or applicable requirements change. The effective date above shows the latest revision. Material changes may be communicated through the Service or another appropriate channel. Continued use after updated Terms take effect constitutes acceptance where permitted by law.
